Leverkusen/Shanghai – In October 2006, Bayer HealthCare agreed to acquire the over-the-counter ( info

OTC) cough and cold products portfolio of the Chinese-based Topsun Group for approximately €106 million, plus contingent payments totaling up to €19 million that are subject to fulfillment of certain performance criteria. This acquisition will substantially increase Bayer HealthCare’s presence in China, one of the fastest growing OTC markets in the world, and is intended to enhance the company’s competitiveness in the Chinese OTC market. Closing of the transaction is expected for the second half of 2007.
